Areas of expertise
Six mandates, one discipline.
Each transaction has a different technical structure but the same underlying logic: understand where value is created and protect it through to signing.
M&A and corporate transactions
Our centre of gravity is the buy side. We build the acquisition strategy with the entrepreneur and then carry it out: mapping the relevant market, proprietary search for targets — including those not for sale — a discreet first approach to the owners, valuation, the financial structure of the deal, negotiation and support through to closing. The work does not end at signing: we stay through integration and through the acquisitions that follow when growth is pursued as a build-up.
- Market mapping and proprietary target search
- A discreet approach to owners who have not declared themselves sellers
- Financial structure of the acquisition and debt levers
- SPA negotiation, earn-outs and shareholders' agreements
- Build-up: successive acquisitions under a single design
- Sell-side, exits and succession, when the direction is reversed
Private Equity & Venture Capital Advisory
We help companies and entrepreneurs raise capital from investors, opening an international network of more than 500 funds. We build the positioning, select the right counterparts by stage and sector, and run the negotiation through to the governance agreement.
- Capital increases and club deals
- Investor selection and qualification
- Shareholders' agreements and governance
- Build-up and add-on programmes
Structured finance and debt advisory
We build the most efficient financing structure to support the transaction — acquisition finance, bond instruments, private debt — negotiating sustainable terms and covenants with lenders and institutional investors through to drawdown.
- Acquisition and leveraged finance
- Minibonds and private placements
- Debt structuring in support of growth
- Financial covenant negotiation
Business valuation and due diligence
We run an integrated, in-depth analysis of the value of the business, its assets and its brand, using DCF, market multiples and comparable transactions. The output holds up before a board, a counterparty or a court.
- Business and shareholding valuation
- Fairness opinions for boards
- Integrated financial due diligence
- Asset and brand valuation
M&A Director
Many companies decide to grow by acquisition without anyone in-house devoted to it full time. The M&A Director is that role, brought in from outside: sitting beside the entrepreneur, building and keeping alive the pipeline of targets, handling the first contacts with owners, coordinating legal, tax and technical advisors, bringing deals to the table and seeing them through to integration. It is not a single mandate but a standing function — the difference between closing an acquisition and having an acquisition strategy.
- A target pipeline built and kept alive over time
- First contact and a direct relationship with owners
- Coordination of legal, tax and technical advisors
- From the letter of intent to post-closing integration
Strategic CFO and financial planning
We support entrepreneurs and management in the company's financial governance, with full oversight of planning, cash flow control, budgeting and financial strategy aimed at solid, sustainable growth.
- Financial planning and budgeting
- Cash flow control
- Business plans and financial models
- Preparing the company for the transaction
Method
Four phases, no surprises.
Every mandate follows the same sequence. We share it at the outset so you always know where we are and what happens next.
Framing
Two weeks to understand the perimeter, read the accounts and establish whether the transaction is feasible. If it is not, we say so here.
Structure
We build the financial model, define the transaction structure and prepare the documentation for counterparties.
Market
We approach qualified counterparties, run the data room and bring back offers that can be compared on the same assumptions.
Closing
We negotiate the definitive agreements alongside counsel and stay operational through the post-deal and build-up phases.
First contact
Available for a confidential conversation.
The first meeting exists to establish whether we can be useful. If the transaction is not right for us, we say so immediately and point you elsewhere.
